Their purpose is to define the terms and conditions of provision of the Services to the benefit of the client who has subscribed to them under the conditions defined in the article &#8220;Subscription to the Services and acceptance of the General Conditions of Use&#8221; (hereinafter the &#8220;Client&#8221;).<\/p>\n<p>If the Customer has accepted a commercial offer under the conditions set out in the article &#8220;Request for an offer and online subscription&#8221; (hereinafter: the &#8220;Offer&#8221;), this Offer and these General Terms and Conditions constitute an indissociable contractual whole. In the event of contradiction, the provisions of the Offer(s) take precedence over these general terms and conditions. In the event of contradiction between different Offers, the most recent document takes precedence over the oldest.<\/p>\n<p>Special terms and conditions or those contained in commercial proposals take precedence over all other general terms and conditions.<\/p>\n<p>Main definitions<\/p>\n<p>In these general terms and conditions, the following terms, used with a first capital letter, will have the following respective meanings:<\/p>\n<p>Application<\/p>\n<p>The online Application KEEPER IN MOTION published by TECHAGENCY and accessible on the Site in &#8220;SaaS&#8221; mode (Software as a Service), for which the documentation relating to its functional and technical characteristics is available on request.<\/p>\n<p>User Accounts<\/p>\n<p>Accounts opened on the Site for each User and dependent on the Customer. Each User Account is nominative and personal to the corresponding User.<\/p>\n<p>Customer<\/p>\n<p>Legal entity or individual having signed the offer or having subscribed for the use of the KEEPER IN MOTION SaaS solution.<\/p>\n<p>Client Area<\/p>\n<p>The interface reserved for the Client, to which the Client and Users have access via the Client Account and User Accounts, and which enables them to manage their use of the Services.<\/p>\n<p>Confidential Information<\/p>\n<p>All information and\/or data, in whatever form and of whatever nature, including in particular all written or printed documents, all computer files, samples, models and\/or knowledge whether or not protected by an intellectual property right, as well as all written or oral information, in particular of a commercial, financial, administrative, legal or technical nature, belonging to or relating to a Party, to which the other Party will have access during the provision of the Services, for which the Party communicating this information has unequivocally indicated its confidential nature, or, in the case of oral, visual or written communication, has orally made known its confidential nature at the time of communication.<\/p>\n<p>In particular, customer documents and, more generally, any data, information or documents communicated by the Customer to STALKS for the purposes hereof are considered as Confidential Information.<\/p>\n<p>Services<\/p>\n<p>All the services offered by KEEPER IN MOTION specified in the article &#8220;Description of Services&#8221;.<\/p>\n<p>Website<\/p>\n<p>The website https:\/\/keeperinmotion.com is operated by TECHAGENCY.<\/p>\n<p>Users<\/p>\n<p>The members of staff and collaborators of the Client, selected by the latter to use the Services defined herein.<\/p>\n<p>Site and Services reserved for professionals<\/p>\n<p>The Site and the Services are designed and intended for professional use and are therefore aimed exclusively at professionals in the context of their activity.<\/p>\n<p>Subscription to the Services and acceptance of the General Terms and Conditions<\/p>\n<p>Subscription on the Site<\/p>\n<p>The Services are provided in the form of a subscription (hereinafter referred to as the &#8220;Subscription&#8221;), using one of the following methods:<\/p>\n<p>Subscription to the Application<\/p>\n<p>The Customer takes out a Subscription on the application accessible on the Site (hereinafter referred to as: &#8220;the Application&#8221;), for each of the Users selected by the Customer for this purpose.<\/p>\n<p>Opening Accounts<\/p>\n<p>When subscribing to a Subscription, the TECHAGENCY team opens User Accounts on the Site.<\/p>\n<p>The Client undertakes to ensure that the Users do not allow any third party to use the User Accounts in their place or on their behalf, unless they assume full responsibility. The Customer expressly acknowledges that any use of the Services using their login details will be deemed to have been made by the corresponding Users.<\/p>\n<p>The Client recognises and expressly accepts that Users are solely responsible for maintaining the confidentiality of their login and password. The Client agrees to contact TECHAGENCY without delay, by any useful written means and notably by email, if it appears that a User Account has been used without the User&#8217;s knowledge.<\/p>\n<p>Request for an Offer<\/p>\n<p>The Client directly requests a commercial proposal from TECHAGENCY in order to subscribe to the Services, or may benefit directly by subscribing online. To this end, it is the Client&#8217;s responsibility to provide TECHAGENCY with useful information and documents in order to allow TECHAGENCY to identify the Client&#8217;s needs and expectations.<\/p>\n<p>On the basis of this information and documents, TECHAGENCY will establish an Offer indicating the characteristics of these specific Services, their price and the terms of payment. Unless otherwise stated, this Offer is valid for one month from the date of issue. If it is not validated by the Client within this period, it will become null and void.<\/p>\n<p>The Client must validate the Offer within the above-mentioned period by signing it. TECHAGENCY will then open a User Account on the Website, if it has not already done so, under the conditions described above.<\/p>\n<p>In the case of an online subscription, the customer will be guided from start to finish as to the information required from him\/her concerning the subscription formula(s), and also the indications relating to payment on the online payment platform.<\/p>\n<p>Acceptance of the General Terms and Conditions<\/p>\n<p>When subscribing to the Subscription, the Customer accepts these general terms and conditions by ticking a box in the commercial proposal or the online subscription.<\/p>\n<p>If the Customer has ordered specific Services, any validation of an Offer, whether express or implied, implies full acceptance of these general terms and conditions, in the version in force on the date of the Offer in question.<\/p>\n<p>This acceptance can only be full and entire. Any conditional acceptance is considered null and void. The Client who does not accept to be bound by the present general conditions cannot order Services from TECHAGENCY.<\/p>\n<p>Request for modification of the Subscription and\/or Services<\/p>\n<p>The Client has the possibility, at any time, to change the Subscription or to modify the specific Services ordered from TECHAGENCY.<br \/>\nAll requests for modification by the Client of the Subscription formulas and\/or specific Services referred to in the Offer may be made according to one of the following methods:<\/p>\n<p>These requests may be negotiated directly between the Client and TECHAGENCY. In the event of agreement between the Parties, the modifications will be the subject of a complementary Offer or a new Offer, the provisions of which will prevail over the old one. In the absence of any indication in the new Offer, the commitment periods remain identical to the first Offer.<br \/>\nThe Customer may also change subscription on the https:\/\/keeperinmotion.com website, according to the various options described in chapter 4.2 &#8220;Subscriptions&#8221; of the General Terms and Conditions of Sale.<\/p>\n<p>Description of Services<\/p>\n<p>The KEEPER IN MOTION application offers various services divided into 2 main phases:<\/p>\n<p>The &#8220;Tag&#8221; phase, which is a phase for collecting information on the athlete&#8217;s action sequences. Customers can also download PDF files containing all the information processed.<br \/>\nThe Analysis phase, which enables the Customer to carry out multi-criteria statistical analyses of the athlete&#8217;s performance.<\/p>\n<p>The KEEPER IN MOTION application also enables a history to be kept of all the sequences of actions entered, with the possibility of modifying and generating PDF reports.<\/p>\n<p>Availability of Services<\/p>\n<p>TECHAGENCY guarantees, except in cases of force majeure, to maintain access to the Services 24 hours a day, 7 days a week, as well as the level of availability and the conditions of management and resolution of incidents specified below (the &#8220;Service Availability&#8221;).<\/p>\n<p>The Client who has subscribed to the Application acknowledges and expressly accepts that given the complexity of the Internet, the unequal capacities of the various sub-networks, the influx of Users at certain times, and the various bottlenecks over which TECHAGENCY has no control, the responsibility of TECHAGENCY will be limited to the functioning of its servers, the external limits of which are constituted by the connection points.<\/p>\n<p>TECHAGENCY cannot be held responsible for (i) access speeds to its servers, (ii) slowdowns external to its servers, and (iii) bad transmissions due to a failure or malfunction of these networks.<\/p>\n<p>The Customer acknowledges and accepts that Service Availability does not cover any failure or interruption caused by telecoms operators or Internet access providers.<\/p>\n<p>Service commitment and support<\/p>\n<p>Provision of the solution<\/p>\n<p>Relying on an infrastructure consisting of virtual servers, database backup procedures and daily operating services for the environment, we guarantee 99% availability of the KEEPER IN MOTION solution.<\/p>\n<p>A half-day maintenance window may be scheduled, resulting in a service interruption. The date of this interruption will be announced to all users with a minimum of two weeks&#8217; notice (2).<\/p>\n<p>Incident Management<\/p>\n<p>The service consists of maintaining the current solution, correcting any bugs and intervening when incidents are reported by users.<\/p>\n<p>Process<\/p>\n<p>Incidents will generate exchanges between the Client and TECHAGENCY, notably in the form of tickets\/incident sheets, after being taken into account by the support service.<\/p>\n<p>Monitoring tool<\/p>\n<p>Incident resolution requests will be recorded in the ticketing tool by authorised users.<\/p>\n<p>The service includes<\/p>\n<p>Receipt of requests (tickets) with acknowledgement of receipt in the incident tracking tool.<br \/>\nAnalysing the request (clarification with the customer, analysis, etc.)<br \/>\nCarrying out the correction<br \/>\nUnit and integration testing<br \/>\nDeployment on the production instance<\/p>\n<p>Criticality and deadlines<\/p>\n<p>Working days and service hours: the calendar of working days applies.<br \/>\nService hours are between 8.30am-12.30pm and 1.30pm-5.30pm.<\/p>\n<p>Requests will be dealt with according to the following criteria:<\/p>\n<\/div>\n<p>[\/vc_column_text][vc_single_image image=&#8221;2099&#8243; img_size=&#8221;large&#8221; alignment=&#8221;center&#8221; css=&#8221;.vc_custom_1714727550219{margin-top: 20px !important;margin-bottom: 20px !important;}&#8221;][vc_single_image image=&#8221;2096&#8243; img_size=&#8221;large&#8221; alignment=&#8221;center&#8221; css=&#8221;.vc_custom_1714727556566{margin-bottom: 20px !important;}&#8221;][vc_column_text el_class=&#8221;blanc&#8221;]<\/p>\n<div id=\"content\" class=\"content\" role=\"main\">\n<p>L\u2019heure de r\u00e9f\u00e9rence est celle de la notification du ticket au titulaire dans l\u2019outil de suivi des Incidents.<\/p>\n<p><strong>Gouvernance et suivi de la prestation<\/strong><\/p>\n<p>Un Service Manager sera assign\u00e9.<\/p>\n<p>Il est le correspondant privil\u00e9gi\u00e9 du Client et supervise la prestation rendue. Il est aussi le point d\u2019escalade en cas de probl\u00e8me ou demande du Client.<\/p>\n<p><strong>H\u00e9bergement des donn\u00e9es du Client<\/strong><\/p>\n<p>TECHAGENCY s\u2019engage \u00e0 assurer, l\u2019h\u00e9bergement des donn\u00e9es du Client sur des serveurs situ\u00e9s en Suisse ou dans l\u2019Union Europ\u00e9enne et par un prestataire d\u2019h\u00e9bergement professionnel, exer\u00e7ant son activit\u00e9 conform\u00e9ment aux usages de la profession, et \u00e0 l\u2019\u00e9tat de l\u2019art.<\/p>\n<p>Dans ce cadre, TECHAGENCY s\u2019engage \u00e0 fournir au Client des capacit\u00e9s de stockage et de traitement suffisantes pour l\u2019exploitation des Services, conform\u00e9ment aux usages de la profession, et \u00e0 l\u2019\u00e9tat de l\u2019art.<\/p>\n<p>TECHAGENCY s\u2019engage \u00e0 mettre en \u0153uvre l\u2019ensemble des moyens techniques, conformes \u00e0 l\u2019\u00e9tat de l\u2019art, n\u00e9cessaires pour assurer la s\u00e9curit\u00e9 et l\u2019acc\u00e8s aux Services et aux Donn\u00e9es, et la surveillance des infrastructures, le contr\u00f4le de l\u2019acc\u00e8s physique et\/ou immat\u00e9riel aux dites infrastructures, ainsi que sur la mise en \u0153uvre des mesures de d\u00e9tection, de pr\u00e9vention et de r\u00e9cup\u00e9ration pour prot\u00e9ger les serveurs d\u2019actes malveillants.<\/p>\n<p>TECHAGENCY s\u2019engage \u00e9galement \u00e0 prendre toutes pr\u00e9cautions utiles, au regard de la nature des donn\u00e9es et des risques pr\u00e9sent\u00e9s par les traitements automatis\u00e9s de donn\u00e9es mis en \u0153uvre pour les besoins des Services, pour pr\u00e9server la s\u00e9curit\u00e9 des Donn\u00e9es, notamment emp\u00eacher qu\u2019elles soient alt\u00e9r\u00e9es, endommag\u00e9es ou que des tiers non autoris\u00e9s y aient acc\u00e8s.<\/p>\n<h2>Dur\u00e9e<\/h2>\n<p>L\u2019Abonnement d\u00e9bute \u00e0 la date de la livraison des acc\u00e8s par TECHAGENCY, pour la dur\u00e9e souscrite par le Client (ci-apr\u00e8s : la \u00ab P\u00e9riode Initiale \u00bb). Il sera ensuite reconduit tacitement pour des p\u00e9riodes successives de m\u00eame dur\u00e9e, de date \u00e0 date, sauf d\u00e9nonciation par TECHAGENCY ou par le Client Trois (3) mois avant la fin de la p\u00e9riode en cours, si l\u2019abonnement est annuel.<\/p>\n<p>En cas de commande de Services sp\u00e9cifiques, la date d\u2019effet et la dur\u00e9e de leur souscription sont indiqu\u00e9es dans la proposition commerciale.<\/p>\n<h2>Conditions financi\u00e8res<\/h2>\n<p><strong>Prix des services<\/strong><\/p>\n<p>Les prix des Services sont ceux indiqu\u00e9s dans la derni\u00e8re version de la proposition commerciale sign\u00e9e ou ceux indiqu\u00e9s sur le site https:\/\/keeperinmotion.com dans le cas d\u2019une souscription en ligne.<\/p>\n<p>TECHAGENCY se r\u00e9serve le droit, \u00e0 sa libre discr\u00e9tion et selon des modalit\u00e9s dont elle sera seule juge, de proposer des offres promotionnelles ou r\u00e9ductions de prix.<\/p>\n<p>Toute p\u00e9riode d\u2019Abonnement entam\u00e9e est due dans son int\u00e9gralit\u00e9.<\/p>\n<p><strong>R\u00e9vision des prix<\/strong><\/p>\n<p>Le prix d\u2019un Abonnement, au-del\u00e0 de sa p\u00e9riode initiale, peut faire l\u2019objet d\u2019une r\u00e9vision par TECHAGENCY \u00e0 tout moment, \u00e0 sa libre discr\u00e9tion. Le Client sera inform\u00e9 de ces modifications par TECHAGENCY par tout moyen \u00e9crit utile au minimum un (1) mois avant la date de d\u00e9but du pr\u00e9avis indiqu\u00e9 \u00e0 l\u2019article \u00ab Dur\u00e9e \u00bb l\u2019entr\u00e9e en vigueur du nouveau prix.<\/p>\n<p>Une fois entr\u00e9 en vigueur, le nouveau prix s\u2019applique lors du renouvellement de l\u2019Abonnement. Le Client qui n\u2019accepte pas le nouveau prix doit mettre fin \u00e0 son Abonnement selon les modalit\u00e9s pr\u00e9vues \u00e0 l\u2019article \u00ab Dur\u00e9e \u00bb. A d\u00e9faut, il sera r\u00e9put\u00e9 avoir accept\u00e9 le nouveau tarif.<\/p>\n<p><strong>Facturation et modalit\u00e9s de paiement<\/strong><\/p>\n<p>Sauf accord sp\u00e9cifique entre le Client et TECHAGENCY :<\/p>\n<ul>\n<li>Les prix sont exigibles \u00e0 leur date de souscription, puis \u00e0 chaque renouvellement ou chaque p\u00e9riode indiqu\u00e9e dans la proposition commerciale.<\/li>\n<li>Les modalit\u00e9s de paiement du prix des Services sp\u00e9cifiques sont indiqu\u00e9es dans l\u2019Offre ou bien sur le site https:\/\/keeperinmotion.com dans le cas d\u2019une souscription en ligne.<\/li>\n<li>Ces prix font l\u2019objet de factures, communiqu\u00e9es au Client par tout moyen utile.<\/li>\n<\/ul>\n<p><strong>Retards et incidents de paiement<\/strong><\/p>\n<p>Le Client est inform\u00e9 et accepte express\u00e9ment que tout retard ou d\u00e9faut de paiement de tout ou partie d\u2019une somme due \u00e0 son \u00e9ch\u00e9ance entra\u00eenera automatiquement, sans mise en demeure pr\u00e9alable, l\u2019arr\u00eat de la mise \u00e0 disposition de la solution <strong>KEEPER IN MOTION<\/strong> par TECHAGENCY.<\/p>\n<h2>Convention de preuve<\/h2>\n<p>Le Client reconna\u00eet et accepte express\u00e9ment :<\/p>\n<ul>\n<li>Que les donn\u00e9es recueillies sur le Site et les \u00e9quipements informatiques de TECHAGENCY font foi de la r\u00e9alit\u00e9 des op\u00e9rations intervenues dans le cadre des pr\u00e9sentes ;<\/li>\n<li>Que ces donn\u00e9es constituent le principal mode de preuve admis entre les parties, notamment pour le calcul des sommes dues \u00e0 TECHAGENCY.<\/li>\n<\/ul>\n<p>Le Client peut acc\u00e9der \u00e0 ces donn\u00e9es sur l\u2019Application.<\/p>\n<h2>Obligations et garanties du Client<\/h2>\n<p>Sans pr\u00e9judice des autres obligations pr\u00e9vues aux pr\u00e9sentes, le Client s\u2019engage \u00e0 respecter les obligations qui suivent :<\/p>\n<ul>\n<li>Le Client s\u2019engage \u00e0 fournir \u00e0 TECHAGENCY toutes les informations n\u00e9cessaires \u00e0 la r\u00e9alisation des Services.<\/li>\n<li>Le Client garantit \u00e0 TECHAGENCY que toutes les donn\u00e9es informations qu\u2019il lui communique dans le cadre de la r\u00e9alisation des Services, ne sont entach\u00e9es d\u2019aucun caract\u00e8re trompeur.<\/li>\n<li>Le Client s\u2019engage \u00e0 informer les Utilisateurs de l\u2019existence du Site et des Services, ainsi qu\u2019\u00e0 leur fournir toutes informations utiles pour leur permettre une bonne utilisation des Services et faciliter leur acc\u00e8s ;<\/li>\n<li>Le Client s\u2019engage, dans son usage des Services, \u00e0 respecter les lois et r\u00e8glements en vigueur et \u00e0 ne pas porter atteinte aux droits de tiers ou \u00e0 l\u2019ordre public ;<\/li>\n<li>Le Client est seul responsable de son utilisation des Services, ainsi que de l\u2019utilisation des Services par les Utilisateurs eux-m\u00eames. A cet \u00e9gard, il se porte garant contre toute mauvaise utilisation, utilisation non conforme ou illicite, que les Utilisateurs pourront faire des Services, notamment contre les atteintes aux lois et r\u00e8glements en vigueur<\/li>\n<li>Le Client est ainsi exclusivement responsable de la mise en place de toutes proc\u00e9dures destin\u00e9es \u00e0 pr\u00e9venir ou \u00e0 r\u00e9parer la commission de tels actes<\/li>\n<li>Le Client est \u00e9galement seul responsable des relations pouvant na\u00eetre entre lui et les Utilisateurs, notamment tous diff\u00e9rends ou litiges ayant pour cause ou origine l\u2019utilisation des Services. Il est notamment seul responsable des d\u00e9l\u00e9gations de pouvoir et\/ou de signature accord\u00e9es aux Utilisateurs auxquels il affecte l\u2019acc\u00e8s \u00e0 l\u2019Application. La responsabilit\u00e9 de TECHAGENCY ne pourra en aucun cas \u00eatre engag\u00e9e \u00e0 ce titre<\/li>\n<li>Le Client est seul responsable des relations pouvant na\u00eetre entre lui, les Utilisateurs et les tiers, notamment les Signataires Tiers, dans le cadre de l\u2019Utilisation des Services<\/li>\n<li>Le Client reconna\u00eet et accepte express\u00e9ment qu\u2019il est de sa responsabilit\u00e9 de prendre les mesures n\u00e9cessaires pour sauvegarder par ses propres moyens les informations transf\u00e9r\u00e9es par l\u2019Application dans son environnement de travail quel qu\u2019il soit. Sous r\u00e9serve des dispositions applicables au Service d\u2019archivage, pr\u00e9vues \u00e0 l\u2019article \u00ab Service d\u2019archivage \u00e9lectronique \u00bb, TECHAGENCY d\u00e9cline toute responsabilit\u00e9 en cas de perte \u00e9ventuelle de ces informations, le Client ne pouvant pr\u00e9tendre \u00e0 aucun d\u00e9dommagement \u00e0 ce titre<\/li>\n<li>Le Client est inform\u00e9 et accepte que la mise en \u0153uvre totale des Services n\u00e9cessite que les Utilisateurs soient connect\u00e9s \u00e0 internet et que la qualit\u00e9 des Services d\u00e9pend directement de cette connexion, dont il est seul responsable<\/li>\n<li>Le Client s\u2019interdit, en son nom et au nom des Utilisateurs de monnayer, c\u00e9der, conc\u00e9der ou transf\u00e9rer tout ou partie de ses droits ou obligations au titre des pr\u00e9sentes \u00e0 un quelconque tiers, y compris si ce tiers a un lien direct ou indirect avec le Client ou l\u2019un des Utilisateurs, de quelque mani\u00e8re que ce soit<\/li>\n<li>Le Client garantit TECHAGENCY contre toutes plaintes, r\u00e9clamations, actions et\/ou revendications quelconques qu\u2019elle pourrait subir du fait de la violation, par le Client de l\u2019une quelconque de ses obligations aux termes des pr\u00e9sentes. Il s\u2019engage \u00e0 payer \u00e0 TECHAGENCY tous les frais, charges et\/ou condamnations qu\u2019elle pourrait avoir \u00e0 supporter de ce fait<\/li>\n<\/ul>\n<h2>Obligations et responsabilit\u00e9 de TECHAGENCY<\/h2>\n<p>Sans pr\u00e9judice des autres obligations pr\u00e9vues aux pr\u00e9sentes, TECHAGENCY s\u2019engage \u00e0 respecter les obligations qui suivent :<\/p>\n<ul>\n<li>TECHAGENCY s\u2019engage \u00e0 fournir les Services avec diligence et selon les r\u00e8gles de l\u2019art, et garantit que les Services sont r\u00e9alis\u00e9s \u00e0 un niveau de s\u00e9curit\u00e9 et de confidentialit\u00e9 conformes aux exigences du R\u00e8glement RGPD<\/li>\n<li>TECHAGENCY s\u2019engage \u00e0 n\u2019utiliser les informations, donn\u00e9es et plus g\u00e9n\u00e9ralement tous les \u00e9l\u00e9ments qui pourront lui \u00eatre transmis dans le cadre des pr\u00e9sentes qu\u2019aux fins de leur ex\u00e9cution. Elle s\u2019engage \u00e0 ne pas diffuser ou partager ces \u00e9l\u00e9ments avec quelque tiers que ce soit, \u00e0 l\u2019exception de ses sous-traitants pour les seuls besoins de la r\u00e9alisation des Services, sauf demande ou accord expr\u00e8s du Client ;<\/li>\n<li>TECHAGENCY certifie qu\u2019elle est titulaire d\u2019une police d\u2019assurance garantissant sa responsabilit\u00e9 civile professionnelle. Elle s\u2019engage \u00e0 maintenir en vigueur cette police d\u2019assurance pendant la dur\u00e9e des pr\u00e9sentes ;<\/li>\n<li>TECHAGENCY s\u2019engage \u00e0 proc\u00e9der r\u00e9guli\u00e8rement \u00e0 des contr\u00f4les afin de v\u00e9rifier le fonctionnement et l\u2019accessibilit\u00e9 des Services. A ce titre, TECHAGENCY se r\u00e9serve la facult\u00e9 d\u2019interrompre momentan\u00e9ment l\u2019acc\u00e8s aux Services pour des raisons de maintenance. De m\u00eame, TECHAGENCY ne saurait \u00eatre tenue responsable des difficult\u00e9s ou impossibilit\u00e9s momentan\u00e9es d\u2019acc\u00e8s aux Services qui auraient pour origine des circonstances qui lui sont ext\u00e9rieures ou qui seraient dues \u00e0 des perturbations des r\u00e9seaux de t\u00e9l\u00e9communication<\/li>\n<li>TECHAGENCY ne saurait \u00eatre tenue pour responsable des retards imputables \u00e0 la communication tardive ou d\u00e9fectueuse par le Client de toutes informations et donn\u00e9es n\u00e9cessaires \u00e0 la mise en \u0153uvre des Services et plus g\u00e9n\u00e9ralement, de tous faits imputables au Client, ainsi que des d\u00e9fauts qui ne seraient pas directement et exclusivement imputables \u00e0 TECHAGENCY<\/li>\n<li>En tout \u00e9tat de cause, TECHAGENCY ne saurait \u00eatre redevable envers le Client du paiement de dommages et int\u00e9r\u00eats, de quelque nature qu\u2019ils soient, directs, mat\u00e9riels, commerciaux, financiers ou moraux, en raison de l\u2019ex\u00e9cution des pr\u00e9sentes, pour un montant sup\u00e9rieur aux montants factur\u00e9s par TECHAGENCY dans ce cadre ayant entrain\u00e9 sa responsabilit\u00e9, durant les douze (12) mois pr\u00e9c\u00e9dant la survenance du dommage pr\u00e9tendu. La responsabilit\u00e9 de TECHAGENCY ne pourra au demeurant \u00eatre engag\u00e9e que si le Client a \u00e9mis une r\u00e9clamation, par lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception, dans un d\u00e9lai d\u2019un mois suivant ladite survenance<\/li>\n<\/ul>\n<h2>Sanctions en cas de manquements<\/h2>\n<p>En cas de manquement \u00e0 l\u2019une quelconque des dispositions des pr\u00e9sentes conditions g\u00e9n\u00e9rales, ou plus g\u00e9n\u00e9ralement, d\u2019infraction aux lois et r\u00e8glements par le Client, TECHAGENCY se r\u00e9serve le droit de :<\/p>\n<ul>\n<li>Suspendre, supprimer ou emp\u00eacher l\u2019acc\u00e8s aux Services du Client, auteur du manquement ou de l\u2019infraction, ou y ayant particip\u00e9<\/li>\n<li>Prendre toutes mesures appropri\u00e9es et engager toute action en justice<\/li>\n<li>Avertir le cas \u00e9ch\u00e9ant les autorit\u00e9s comp\u00e9tentes, coop\u00e9rer avec elles et leur fournir toutes les informations utiles \u00e0 la recherche et \u00e0 la r\u00e9pression d\u2019activit\u00e9s ill\u00e9gales ou illicites<\/li>\n<\/ul>\n<p>En cas de manquement du Client \u00e0 une obligation essentielle d\u00e9coulant des pr\u00e9sentes conditions g\u00e9n\u00e9rales, TECHAGENCY se r\u00e9serve le droit de restreindre son acc\u00e8s \u00e0 tout ou partie des Services, trente (30) jours apr\u00e8s r\u00e9ception, par le Client, d\u2019une mise en demeure rest\u00e9e sans effet, adress\u00e9e par lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception, mentionnant l\u2019intention de faire application de la pr\u00e9sente clause, sans pr\u00e9judice de tous dommages et int\u00e9r\u00eats qui pourraient \u00eatre r\u00e9clam\u00e9s \u00e0 l\u2019Utilisateur. Elle entra\u00eene automatiquement la suppression du Compte Client, sans pr\u00e9judice des autres cons\u00e9quences \u00e9ventuellement induites en application des pr\u00e9sentes conditions g\u00e9n\u00e9rales.<\/p>\n<h2>Propri\u00e9t\u00e9 intellectuelle de TECHAGENCY<\/h2>\n<p>Les pr\u00e9sentes conditions g\u00e9n\u00e9rales ne conf\u00e8rent au Client aucun droit de propri\u00e9t\u00e9 intellectuelle de quelque nature que ce soit sur le Site et l\u2019Application, et plus g\u00e9n\u00e9ralement, sur les syst\u00e8mes, logiciels, structures, infrastructures, bases de donn\u00e9es et contenus de toute nature (templates, textes, images, visuels, musiques, logos, marques, base de donn\u00e9es, etc \u2026) exploit\u00e9s par TECHAGENCY dans le cadre de la fourniture des Services li\u00e9s \u00e0 l\u2019application <strong>KEEPER IN MOTION<\/strong>.<\/p>\n<p>Le Client ne dispose que d\u2019une licence d\u2019utilisation de ces \u00e9l\u00e9ments, aux seules fins de son utilisation des Services.<\/p>\n<p>Tous d\u00e9sassemblages, d\u00e9compilations, d\u00e9cryptages, extractions, r\u00e9utilisations, copies et plus g\u00e9n\u00e9ralement, tous les actes de reproduction, repr\u00e9sentation, diffusion et utilisation de l\u2019un quelconque de ces \u00e9l\u00e9ments, en tout ou partie, sans l\u2019autorisation de TECHAGENCY sont strictement interdits et pourront faire l\u2019objet de poursuites judiciaires.<\/p>\n<h2>Confidentialit\u00e9<\/h2>\n<p>TECHAGENCY et le Client s\u2019engagent \u00e0 ce que les Informations Confidentielles :<\/p>\n<ul>\n<li>Soient gard\u00e9es strictement secr\u00e8tes;<\/li>\n<li>Ne soient divulgu\u00e9es de mani\u00e8re interne qu\u2019aux seuls membres de son personnel, ayant \u00e0 en conna\u00eetre ainsi qu\u2019\u00e0 ses auditeurs, conseils ou prestataires externes tenus aux m\u00eames obligations de confidentialit\u00e9 que celles pr\u00e9vues aux pr\u00e9sentes et ne soient utilis\u00e9es par ces derniers que dans le but d\u00e9fini au pr\u00e9ambule du pr\u00e9sent accord ;<\/li>\n<li>Ne soient pas utilis\u00e9es, totalement ou partiellement, dans un autre but que celui d\u00e9fini par le pr\u00e9sent accord, sans le consentement pr\u00e9alable et \u00e9crit de la Partie divulgatrice ;<\/li>\n<li>Ne soient ni divulgu\u00e9es ni susceptibles d\u2019\u00eatre divulgu\u00e9es, soit directement, soit indirectement, \u00e0 tout tiers ou \u00e0 toutes personnes autres que celles mentionn\u00e9es \u00e0 l\u2019alin\u00e9a (ii) ci-dessus ;<\/li>\n<li>Ne soient ni copi\u00e9es, ni reproduites, ni dupliqu\u00e9es totalement ou partiellement lorsque de telles copies, reproductions ou duplications ne sont pas pour ses besoins propres ou n\u2019ont pas \u00e9t\u00e9 autoris\u00e9es par la Partie divulgatrice et ce, de mani\u00e8re expresse et par \u00e9crit.<\/li>\n<\/ul>\n<p>Cette obligation ne s\u2019\u00e9tend pas aux documents et informations ;<\/p>\n<ul>\n<li>Dont la partie qui les re\u00e7oit avait d\u00e9j\u00e0 connaissance ;<\/li>\n<li>D\u00e9j\u00e0 publics lors de leur communication ou qui le deviendraient sans violation du pr\u00e9sent accord ;<\/li>\n<li>Qui auraient \u00e9t\u00e9 re\u00e7us d\u2019un tiers de mani\u00e8re licite ;<\/li>\n<li>Dont la communication serait exig\u00e9e par les autorit\u00e9s judiciaires, en application des lois et r\u00e8glements ou en vue d\u2019\u00e9tablir les droits d\u2019une partie au titre des pr\u00e9sentes.<\/li>\n<\/ul>\n<p>TECHAGENCY et le Client s\u2019engagent \u00e9galement, d\u00e8s l\u2019\u00e9ch\u00e9ance ou la r\u00e9siliation des Services, \u00e0 restituer \u00e0 l\u2019autre partie et\/ou \u00e0 d\u00e9truire l\u2019ensemble des documents contenant des Informations Confidentielles qui lui ont \u00e9t\u00e9 fournis pendant la dur\u00e9e d\u2019ex\u00e9cution des pr\u00e9sentes et \u00e0 ne pas en conserver de copie.<\/p>\n<p>Il est express\u00e9ment convenu entre TECHAGENCY et le Client que les Informations Confidentielles resteront la propri\u00e9t\u00e9 de la partie les ayant divulgu\u00e9es et que leur divulgation au titre des pr\u00e9sentes ne peut en aucun cas \u00eatre interpr\u00e9t\u00e9e comme conf\u00e9rant de mani\u00e8re expresse ou implicite \u00e0 la partie qui les re\u00e7oit un droit quelconque, notamment de propri\u00e9t\u00e9 intellectuelle, sur celles-ci.<\/p>\n<p>La pr\u00e9sente obligation de confidentialit\u00e9 continuera \u00e0 produire ses effets pendant les cinq (5) ans suivant la fin des Services, pour quelque raison que ce soit.<\/p>\n<h2>Protection des donn\u00e9es \u00e0 caract\u00e8re personnel<\/h2>\n<p>Pour TECHAGENCY la protection des donn\u00e9es personnelles rev\u00eat une importance cruciale. C\u2019est la raison pour laquelle l\u2019ensemble des traitements propos\u00e9s par KEEPER IN MOTION est r\u00e9alis\u00e9 en conformit\u00e9 avec le R\u00e8glement G\u00e9n\u00e9ral sur la Protection des Donn\u00e9es 2016\/679 du Parlement europ\u00e9en et du Conseil du 27 avril 2016, relatif \u00e0 la protection des personnes physiques \u00e0 l&#8217;\u00e9gard du traitement des donn\u00e9es \u00e0 caract\u00e8re personnel et \u00e0 la libre circulation de ces donn\u00e9es (le &#8220;RGPD&#8221;) entr\u00e9 en vigueur le 25 mai 2018.<\/p>\n<p>TECHAGENCY met ainsi en \u0153uvre toutes les mesures organisationnelles et techniques pour assurer cette conformit\u00e9 dans le temps. Raison pour laquelle l\u2019acceptation de ces pr\u00e9sentes Conditions G\u00e9n\u00e9rales induisent l\u2019acceptation de la politique de confidentialit\u00e9 de KEEPER IN MOTION.<\/p>\n<h2>Force majeure<\/h2>\n<p>Conform\u00e9ment aux dispositions du Code des Obligations, ni le Client, ni TECHAGENCY ne pourront voir leur responsabilit\u00e9 engag\u00e9e pour un d\u00e9faut d\u2019ex\u00e9cution de leurs obligations contractuelles si ce d\u00e9faut est d\u00fb \u00e0 un \u00e9v\u00e9nement, ind\u00e9pendant de leur volont\u00e9 et constitutif de force majeure.<\/p>\n<p>Par force majeure, il faut entendre la survenance d\u2019un \u00e9v\u00e9nement pr\u00e9sentant les caract\u00e9ristiques d\u2019impr\u00e9visibilit\u00e9, d\u2019irr\u00e9sistibilit\u00e9 et d\u2019ext\u00e9riorit\u00e9 aux Parties habituellement reconnues par la loi et les tribunaux suisses. Sont notamment concern\u00e9s : les gr\u00e8ves, activit\u00e9s terroristes, \u00e9meutes, insurrections, guerres, actions gouvernementales, catastrophes naturelles ou d\u00e9faut imputable \u00e0 un prestataire tiers de t\u00e9l\u00e9communication.<\/p>\n<p>La partie emp\u00each\u00e9e devra informer dans les meilleurs d\u00e9lais l\u2019autre partie en indiquant la nature du cas de force majeure. TECHAGENCY et le Client se rapprocheront afin de d\u00e9terminer ensemble les moyens les plus appropri\u00e9s pour pallier, si possible, les cons\u00e9quences du ou des \u00e9v\u00e9nement(s) constitutif(s) de la force majeure.<\/p>\n<p>Si le cas de force majeure perdure plus d\u2019un (1) mois, chaque partie pourra mettre fin aux Services, de plein droit, sans formalit\u00e9 judiciaire, sans pr\u00e9avis et sans droit \u00e0 indemnit\u00e9s de quelque nature que ce soit, par l\u2019envoi d\u2019une lettre recommand\u00e9e avec avis de r\u00e9ception ayant effet imm\u00e9diat.<\/p>\n<p>Si, \u00e0 la suite d\u2019un cas de force majeure la partie affect\u00e9e est emp\u00each\u00e9e de remplir seulement une partie de ses obligations contractuelles, elle reste responsable de l\u2019ex\u00e9cution des obligations qui ne sont pas affect\u00e9es par le cas de force majeure ainsi que, le cas \u00e9ch\u00e9ant, de ses obligations de paiement.<\/p>\n<p>D\u00e8s cessation du cas de force majeure, la partie emp\u00each\u00e9e doit informer imm\u00e9diatement l\u2019autre Partie et reprendre l\u2019ex\u00e9cution des obligations affect\u00e9es dans un d\u00e9lai raisonnable.<\/p>\n<h2>Effets de la fin des Services et r\u00e9versibilit\u00e9<\/h2>\n<p>La fin des Services, pour quelque cause que ce soit, entra\u00eenera automatiquement et de plein droit la fermeture de l\u2019espace Client et des Comptes Utilisateurs dans KEEPER IN MOTION. Le Client devra cesser sans d\u00e9lai toute utilisation des Services.<\/p>\n<p>La fin des Services sera sans incidence sur les dispositions des pr\u00e9sentes ayant vocation \u00e0 perdurer au-del\u00e0, en particulier :<\/p>\n<ul>\n<li>Le Service d\u2019archivage continuera d\u2019\u00eatre fourni jusqu\u2019au terme de la Dur\u00e9e d\u2019Archivage<\/li>\n<li>Le Client pourra \u00e0 tout moment demander \u00e0 TECHAGENCY \u00e0 acc\u00e9der \u00e0 ses informations Client archiv\u00e9es<\/li>\n<li>TECHAGENCY transmettra la demande au Tiers Archiveur, qui prendra attache directement avec le Client<\/li>\n<li>Sur demande du Client, TECHAGENCY pourra proc\u00e9der \u00e0 la restitution de l\u2019ensemble de ces donn\u00e9es, sous un format standard lisible sans difficult\u00e9 dans un environnement \u00e9quivalent<\/li>\n<li>Le Client s\u2019engage \u00e0 collaborer activement avec TECHAGENCY afin de faciliter la r\u00e9cup\u00e9ration des donn\u00e9es et informations<\/li>\n<\/ul>\n<p>Il est express\u00e9ment convenu entre les Parties que TECHAGENCY sera d\u00e9charg\u00e9e de son obligation de proc\u00e9der \u00e0 la r\u00e9versibilit\u00e9 desdites donn\u00e9es tant que le Client n\u2019aura pas r\u00e9gl\u00e9 l\u2019int\u00e9gralit\u00e9 des factures \u00e9mises par TECHAGENCY au titre de la fourniture des Services.<\/p>\n<p>TECHAGENCY s\u2019engage \u00e0 r\u00e9pondre \u00e0 toute demande d\u2019assistance du Client dans les trois (3) mois mois suivant la fin des Services. TECHAGENCY s\u2019engage \u00e9galement \u00e0 proc\u00e9der \u00e0 l\u2019anonymisation desdites donn\u00e9es et informations.<\/p>\n<h2>R\u00e9f\u00e9rences commerciales<\/h2>\n<p>Sauf mention expresse transmise \u00e0 TECHAGENCY par tout moyen \u00e9crit utile, le Client autorise TECHAGENCY \u00e0 faire usage de son nom, de sa marque, de son logo, \u00e0 titre de r\u00e9f\u00e9rences commerciales, sur tout support et sous quelque forme que ce soit, pendant la dur\u00e9e des Services et au-del\u00e0, pendant une dur\u00e9e de trois (3) ans.<\/p>\n<h2>Loi applicable et juridiction<\/h2>\n<p>Les pr\u00e9sentes conditions g\u00e9n\u00e9rales sont soumises au droit suisse. Elles seront r\u00e9gies et interpr\u00e9t\u00e9es selon ce droit.<br \/>\nTout litige pouvant na\u00eetre \u00e0 l\u2019occasion de leur validit\u00e9, de son interpr\u00e9tation ou de son ex\u00e9cution sera soumis \u00e0 la comp\u00e9tence exclusive des tribunaux de Gen\u00e8ve (Suisse), sauf r\u00e8gle de proc\u00e9dure imp\u00e9rative contraire.<\/p>\n<\/div>\n<p>[\/vc_column_text][\/vc_column][\/vc_row]<\/p>\n<\/div>","protected":false},"excerpt":{"rendered":"<p>[vc_row full_width=&#8221;stretch_row&#8221;
